1. User Accounts and Security

To access certain features—including adding new listings, submitting ownership verification claims, or publishing authentic reviews—you must register an account. By creating an account, you agree that:

• You are at least 18 years of age or possess the legal authority to enter into these terms.
• You provide true, current, and accurate registration information and keep your credentials updated.
• You are responsible for maintaining the confidentiality of your authentication credentials and for all activities conducted through your account.
• You will notify us immediately at support@southbayarea.com if you discover unauthorized access or security breaches.

2. User Content and Customer Reviews

Our directory features authentic community evaluations of regional businesses. By submitting content or reviews, you grant South Bay Area Directory a non-exclusive, perpetual, worldwide, royalty-free license to display, index, and organize your content across the Platform.

You explicitly warrant and certify that:

• Your review reflects your genuine, firsthand personal consumer experience with the business.
• You do not own, manage, or hold a direct financial conflict of interest with the reviewed establishment or its immediate commercial competitors.
• Your submission is free of extortion, hate speech, defamation, obscenity, profanity, confidential private information, or promotional advertisements.
• Rating manipulation—including posting paid or fraudulent positive/negative ratings—is strictly prohibited and subject to account termination.

3. Business Listings Accuracy and Ownership Claims

Business listings submitted by community members or claimed by owners must represent verified, legitimate commercial entities operating in the South Bay Area and Silicon Valley.

• Listing Accuracy: Submissions must reflect accurate street addresses, operating hours, telephone contacts, official website URLs, and appropriate regional categorizations.
• Claim Verification: Anyone claiming ownership or managerial authority over an existing listing must submit verifiable proof (e.g., official commercial email, business license, utility documentation, or telephone verification). Submitting fraudulent claims is a material violation of these terms.
• Owner Maintenance: Verified business owners agree to periodically review and keep operating hours, special amenities, contact details, and representative photos accurate and up-to-date.

4. Prohibited Uses

You agree not to use the Platform to:

• Extract, scrape, harvest, spider, or reverse-engineer data, contact information, or images through automated scripts, bots, or programmatic scrapers.
• Engage in denial-of-service attacks, disrupt platform servers, or overload network infrastructure.
• Impersonate any individual, municipal organization, public agency, or corporate entity.
• Distribute malicious code, Trojan horses, worms, or software intended to damage client browsers or our backend databases.
• Advertise unapproved third-party commercial services or transmit unsolicited bulk communications (“spam”).

5. Editorial Moderation and Account Rights

We reserve the right, but assume no obligation, to monitor, review, reject, or remove any business submission, ownership claim, or review at our sole discretion, without prior notice.

We may suspend or permanently terminate any user account or merchant profile that violates these terms, engages in deceptive practices, or harms the integrity and trust of the South Bay community.

6. Disclaimer of Warranties

The Platform, including all business listings, user reviews, maps, editorial guides, and directory information, is provided strictly on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied.

We do not guarantee that listed businesses will be open during stated hours, that prices or menus remain unchanged, or that merchant claims are error-free. Users are advised to confirm critical details directly with the respective merchants.

7. Limitation of Liability

To the fullest extent permitted by applicable law, South Bay Area Directory, its directors, developers, and affiliates shall not be liable for any indirect, incidental, punitive, special, or consequential damages arising from your access to or inability to use the platform, including but not limited to loss of business, lost profits, or data corruption.

In no event shall our total aggregate liability to you for all claims arising out of or related to these Terms exceed the amount paid by you, if any, for accessing directory services during the prior 12 months, or $100.00 USD, whichever is greater.

8. Changes to These Terms

We may revise these Terms of Service periodically to reflect evolving legal standards, feature additions, or technological enhancements. When changes occur, we will update the “Last updated” timestamp at the top of this document.

Continued use of the Platform following any modifications signifies your acceptance of the updated terms. If you do not accept the updated terms, you must terminate your account and cease using our services.
